Welcome to PTTR Loadboards! Now before you get to using our load board services (hereafter referred to as “PTTR,” “Us,” “Our,” or the “Company), you (hereafter collectively referred to as “Customer,” “You,” or “Users”) agree to follow and accept these Terms and Conditions.
We request you to please read these terms and conditions carefully. After reviewing, if You do not agree with any section or point mentioned in the Terms and Conditions, please severely refrain from using Our website and products.
1. Acceptance of Terms
By being on our website and Platform, and subsequently using it, Users confirm that they have read, and completely understood the contents; as a result have accepted these Terms, along with our Privacy Policy. Note: These terms are fully applicable to all Users, including carriers, brokers, shippers, and others who access or use the Platform.
2. Definitions
For the purposes of these Terms and Conditions, the following definitions apply:
- Board: Connects brokers and carriers for posting and booking loads.
- Tracking: Offers real-time shipment location and status updates.
- PTTR Map: Mapping tool designed for route optimization.
- Nearby Feature: Suggests nearby services like fuel stations and repair shops.
- Instant Invoicing: Allows carriers to generate and manage invoices post-delivery.
- MCI (Market Condition Index): is a metric that analyzes freight market supply and demand while forecasting future trends.
- Advertising: Enables targeted ad placements for small businesses.
- Mobile Apps: Full platform access via iOS and Android.
- Platform: PTTR’s website, dashboard, mobile applications, tools, and all related services.
- Directory: PTTR’s internal and/or public-facing listing of user contact information.
- Trial Period: A temporary introductory access period offered at a reduced or nominal cost.
- Billing Date: The date on which subscription charges are processed.
- Additional Users: Individuals added to a primary account who are billed at the applicable per-user rate.
- Service Outage: A verified interruption in Platform functionality caused solely by PTTR.
3. Use of Platform
You may access and use the Platform solely in accordance with this Agreement. Access requires the creation of an account, which must be associated with a valid email address. Users may create only one account per email address.
By registering with PTTR Load board, You authorize PTTR to store and display Your contact information and other submitted data within Our directory and internal systems.
All access to the Platform is provided “as-is” and “as-available.” PTTR makes no guarantees regarding uptime, performance, accuracy, availability, or suitability for any purpose. PTTR shall not be liable for any loss, damage, delay, business interruption, or other consequence arising from Your use of, inability to use, or reliance upon the Platform.
PTTR Load Board may delay or restrict account activation as necessary to protect sensitive data, verify user identity, prevent fraud, and ensure secure enrollment. Users acknowledge that activation periods may apply and that access may not be immediate.
4. Eligibility
Use of the Platform is permitted only for individuals who are at least sixteen (16) years of age. By creating an account, You represent and warrant that You meet this age requirement and that You are legally permitted to enter into the Agreement under the laws of Your jurisdiction.
PTTR assumes no responsibility for verifying user eligibility and shall not be liable for any misrepresentation made by a User regarding age or legal capacity.
5. Change to Our Platform
PTTR reserves the unrestricted right to modify, update, suspend, discontinue, or otherwise alter any aspect of the Platform at any time, with or without notice, and without liability of any kind. This includes changes to features, functionality, content, tools, pricing, layout, or availability.
PTTR may provide up to thirty (30) days’ notice before discontinuing a service; however, PTTR is not required to provide notice if:
- A security, legal, or intellectual property concern exists;
- Continued cooperation of the service becomes commercially impractical or economically burdensome;
- Immediate modification or discontinuation is necessary to protect PTTR, its users, or its systems.
You acknowledge and agree that PTTR shall not be liable for any modification, suspension, or discontinuation of any part of the platform, nor for any resulting loss, cost or damage.
6. Marketplace Role and Disclaimer
PTTR Load Board is a technology platform that connects shippers, brokers, and carriers. PTTR is not a motor carrier, broker, shipper, freight forwarder, or logistics provider. PTTR does not arrange, manage, control, or guarantee the transportation of freight. All transactions, agreements, payments, and communications between Users occur solely between those Users.
Users acknowledge that PTTR does not verify the accuracy, legality, safety, or legitimacy of loads, carriers, brokers, shippers, insurance, licensing, or any information posted on the Platform. PTTR is not responsible for any disputes, losses, damages, delays, fraud, misrepresentation, or operational issues arising from User interactions.
Nothing in this Agreement creates an agency, partnership, joint venture, employment, or fiduciary relationship between PTTR Load Board and any User.
7. Payments
PTTR Load Board may modify pricing at any time. Continued use of the Platform after a pricing change constitutes acceptance of the new pricing.
Activation Periods
PTTR Load Board reserves the right to implement activation periods for any account type to ensure the protection of sensitive data, verify user legitimacy and maintain secure enrollment. During an activation period, billing may begin immediately, but full platform access may be delayed until PTTR completes its verification and security checks.
7.1 Fees
By pressing the “I Accept” button, the User agrees to pay all applicable fees within five (5) days of receiving the invoice.
7.2 Trial Period
At the end of the applicable trial period, as outlined on PTTR website, the User’s subscription will automatically activate unless canceled prior to the trial expiration date. Subscription charges will begin on the billing date specified within the User’s account.
Failure to Utilize Services
Failure to access or utilize PTTR Load Board services for reasons unrelated to technical issues does not exempt the User from Subscription charges. PTTR does not issue refunds based on perceived usability, personal preference, or individual experience.
Claims of technical difficulty must be submitted in writing via email or mail and must include sufficient documentation to support the request.
7.3 Refunds
PTTR Load Board will issue refunds only in cases of billing errors, duplicate charges, or verified service outages.
7.4 Interruptions and Cancellations
If a User experiences and interruption in service due to reasons within PTTR’s control, PTTR will first attempt to resolve the issue. If immediate resolution is not possible, PTTR may issue a refund for the affected period. Intentional cancellations by the User are not eligible for refunds.
Cancellation requests must be submitted prior to the scheduled billing date and before payment is processed. Failure to cancel before the billing date will result in automatic charge of recurring subscription amount. Charges incurred due to late cancellation remain the responsibility of the User and are non-refundable.
7.4.1 Post-Billing Date Cancellations
Cancellation requests take effect immediately upon submission, and the User will lose access to the Platform and all related services at that time. However, cancellation after the billing date does not remove, reduce, waive, or refund the charges for that billing cycle. The user remains fully financially responsible for all subscription fees, additional-user fees, activation fees, or other charges processed on or after the billing date, regardless of whether the User accessed or used the Platform during that Period. All payments remain due in full regardless of the User’s access status following cancellation.
7.5 Disputing Invoices
If a User identifies an error on an invoice, they must notify PTTR in writing within thirty (30) days of the invoice date. The notice must clearly describe the disputed amount and the basis for dispute.
7.6 Pricing by Account Type
All subscriptions renew automatically on a monthly basis unless canceled in accordance with Section 6.4.
7.6.1 Carrier Accounts
- Trial Period: $0.01 for the first month
- Standard Rate: $104.99 per month after trial
- Additional Users: $39.99 per additional user per month
- Device Limit: 1 Account = usage on 1 phone + 1 desktop device
7.6.2 Broker Accounts
- Trial Period: $0.01 per month, first twelve (12) months
- Beginning February 2nd, 2026: $0.01/month for the first three (3) months.
- Standard Rate: $54.99/month after trial.
- Additional Users: $19.99 per additional user per month
- Device Limit: 1 Account = usage on 1 phone + 1 desktop device
7.6.3 Shipper Accounts
- Trial Period: $0.01 per month for twelve (12) months
- Standard Rate: $99.99 per month after trial
- Additional Users: $19.99 per additional user per month
- Device Limit: 1 Account = usage on 1 phone + 1 desktop device
7.6.4 Combo Accounts
Combo Accounts undergo an approval and verification process. Access to the platform may be delayed for several days after sign‑up to ensure proper account classification.
- Trial Period: $0.01 for the first month
- Standard Rate: $139.99 per month after trial
- Additional Users: $44.99 per additional user per month
7.6.5 PTTR Load Connect (Broker Network Access)
- Subscription Rate: $149.99 per month; Activation Period: Two (2) months
- Billing begins immediately
- Full access is granted only after two consecutive paid months
- Additional Users: $49.99 per additional user per month
- Device Limit: 1 Account = usage on 1 phone + 1 desktop device
7.6.6 Additional User Pricing Adjustments
PTTR Load board reserves the right to modify the pricing of all subscription packages and additional-user fees at any time, with or without prior notice. Pricing for both base plans and additional users is not fixed and may increase or decrease at PTTR’s discretion. Continued use of the Platform after any pricing change constitutes the User’s acceptance of the updated rates.
7.7 Recurring Billing & Payment Authorization
All PTTR Load Board subscriptions are billed on a recurring, automatic monthly basis. By creating an account and providing a payment method, the User authorizes PTTR Load Board to automatically charge the credit or debit card on file for all subscription fees, additional user fees, and any other applicable charges associated with the account.
The User acknowledges and agrees that:
- Charges will recur automatically each month unless the subscription is canceled in accordance with Section 6.4.
- PTTR is authorized to store the User’s payment method and process recurring payments without requiring additional consent for each billing cycle.
- Failure to update an expired, declined, or invalid payment method may result in suspension of services until payment is successfully processed.
PTTR Load Board provides clear cancellation instructions and Users may cancel at any time. By subscribing, Users acknowledge that their subscription will automatically renew until canceled.
7.8 Account Access Issues & Customer Responsibility
Users are solely responsible for maintaining access to their PTTR Load Board account(s). If a user is unable to access their account for any reason, the User must notify PTTR Load Board Immediately by contacting the PTTR office via email at info@pttrloadboard.com or by phone at (855) 605-6655 to request assistance and resolve the issue.
Failure to contact PTTR Load Board regarding account access does not pause, reduce, waive, or eliminate any subscription fees, additional-user fees, activation fees, or other charges. Charges will continue to accrue until the User properly cancels their subscription in accordance with these Terms.
If a user is unable to access their account and also fails to submit a cancellation request, the User remains fully responsible for all amounts billed to the account.
7.9 Direct Cancellation Requirement & Invalid Chargeback Claims
Users must contact PTTR Load Board directly to cancel their subscription. If a User is unable to cancel through the Platform for any reason, the User is required to notify PTTR Load Board by phone or email during business hours to complete the cancellation process.
Calls made outside of PTTR Load Board’s business hours, voicemails left after hours, or unsuccessful attempts to cancel without direct confirmation from PTTR do not constitute a valid cancellation. A User’s failure to reach PTTR during off-does not pause, delay, or eliminate subscription charges.
Disputing a charge as a “cancelled recurring transaction” without having completed a verified cancellation directly with PTTR Load Board does not qualify as a legitimate cancellation. Any such disputes will be considered invalid under these Terms, and all associated subscription fees will remain due and payable until the User properly cancels in accordance with this Agreement.
7.10 Card Deactivation, Inactive Status & Reactivation Rules
If a User deactivates, freezes, or otherwise disables their payment card through their bank or financial institution, the User’s PTTR Load Board account may be placed into an “Inactive” status. During this period, the User may experience limited or restricted access to certain platform features; however the account will remain active within PTTR’s system and will continue to accrue subscription charges.
PTTR Load Board will continue attempting to process subscription payments until the User updates their payment method and resolves the issue. PTTR Load board reserves the right to contact the User by any means available, including phone, email, SMS, or in-platform notification, for the purpose of reactivating the account and restoring proper billing.
If the User updates or corrects their payment information, previously attempted charges that failed due to card deactivation are not owed. The User’s subscription will resume upon successful processing of one monthly subscription payment, and billing will continue on a recurring basis thereafter.
8. User Responsibilities
8.1 Accuracy of Information
All Users are required to provide accurate, complete, and truthful information at all times. This includes, but is not limited to, load details, shipping requirements, carrier qualifications, business information, and any data submitted through the PTTR platform. Users acknowledge that inaccurate or incomplete information may result in delays, disputes, account suspension, or removal from the platform.
8.2 User Responsibility for Compliance
Users are solely responsible for complying with all applicable federal, state, and local laws, including FMCSA regulations, DOT requirements, licensing, insurance, safety rules, and cargo‑handling laws. PTTR Load Board is not responsible for monitoring, enforcing, or verifying User compliance.
8.3 Compliance with Laws and Regulations
All Users agree to comply with all applicable local, state, federal, and international laws governing transportation, freight logistics, commercial operations, and vehicle use. This includes maintaining valid licenses, insurance, permits, and adhering to all environmental, safety, and operational standards required by law.
8.4 Insurance and Licensing (Carriers)
Users registering as Carriers must maintain all legally required commercial insurance, operating authority, and licenses.
This requirement ensures the safety, legality, and compliance of all vehicles and operations conducted through the PTTR platform. PTTR reserves the right to request proof of insurance or licensing at any time.
8.5 Shipper Responsibilities
Shippers must provide accurate load details and remain available to resolve shipment-related issues.
8.6 Carrier Responsibilities
Carriers must provide accurate, real-time shipment tracking and maintain all required safety, licensing, and insurance standards.
8.7 Broker Responsibilities
Brokers must provide complete and accurate load details, including dimensions, weight, and delivery deadlines, and must independently manage payment commitments and disputes with carriers.
8.8 Advertiser Responsibilities
Advertisers must ensure all advertising content complies with PTTR standards, avoids misleading claims, and meets all legal requirements.
9. Advertising Standards
9.1 Compliance Requirements
All advertisements must comply with applicable laws, regulations, and PTTR’s internal standards.
9.2 Prohibited Content
PTTR may remove any advertisement containing misleading, offensive, fraudulent, or non‑compliant content.
9.3 PTTR’s Right to Remove Content
PTTR reserves the right to remove or suspend any advertisement that violates these standards without prior notice.
10. Updates to Terms
10.1 Notice of Changes
PTTR may update its terms and policies at any time. Significant changes will typically be communicated with thirty (30) days’ notice.
10.2 Acceptance of Changes
Continued use of the platform after updates constitutes acceptance of the revised terms.
11. Insurance Requirements for Carriers
11.1 Required Insurance Coverage
Users registering as Carriers are required to maintain the following insurance coverage at all times while using PTTR Load Board platform:
- General Liability Insurance
- Coverage of at least $() coverage for each incident and $() total. This protects against bodily injury, property damage, and other liabilities arising from carrier operations.
- Cargo Insurance
- A minimum of $() coverage to protect goods in transit. This ensures compensation for lost, missing, or damaged cargo.
- Automobile Liability Insurance
- A minimum of $() in coverage. This protects against bodily injury and property damage resulting from accidents involving commercial vehicles used for transportation.
- Workers’ Compensation Insurance (If Applicable)
- Required for carriers who employ drivers, warehouse workers, or other personnel. This insurance must comply with all applicable state and federal laws and must cover work-related injuries.
11.2 Proof of Insurance
Upon registering with PTTR Load Board, all Carriers must submit valid proof of insurance, including certificates of insurance and policy declarations issued by a licensed insurance provider. PTTR may request updated documentation at any time.
Insurance Compliance & Access Restrictions
Users must maintain valid, current, and verifiable insurance as a condition of accessing and using the PTTR Load Board. If insurance information is missing, expired, invalid, unverifiable, or otherwise not up-to-date, PTTR Load Board may immediately restrict, suspend, or deny access to the platform, including the ability to view loads. Such restrictions do not pause, reduce, credit, or eliminate any subscription or service fees. PTTR Load Board reserves the right to continue charging all applicable fees during any period of restricted access resulting from the user’s failure to maintain compliant insurance.
11.2.1: Verification Requirements & Access Limitations
Carriers must properly submit and maintain accurate MC and DOT Verification Certificate information, along with valid Proof of Insurance, as a condition of accessing the PTTR Load Board. Failure to provide complete, accurate, and verifiable documentation may result in limited or restricted access to Load Board features, including the ability to view or book loads.
Such limitations do not pause, reduce, waive, or eliminate any subscription fees, additional-user fees, activation fees, or other charges. PTTR Load Board continues to provide TMS (Transportation Management System) functions and other platform tools during periods of restricted Load Board access; therefore, all payments remain due in full until the User properly cancels their subscription in accordance with these Terms.
11.3 Penalties for Non-Compliance
Carriers who fail to maintain required insurance coverage or fail to provide proof upon request may be subject to:
- Account Suspension
- Carrier access to the PTTR Load Board platform will be suspended until valid insurance documentation is provided.
- Termination
- If non-compliance continues, PTTR may permanently terminate the Carrier’s account.
- Liability for Damages
- Carriers without valid insurance will be personally responsible for any losses, damages, or claims arising from their operations.
11.4 Notification of Changes
Carriers must notify PTTR Load Board immediately of any changes to their insurance coverage, including reductions, modifications, lapses, or cancellations. Carriers must maintain valid, active insurance at all times while using the platform.
12. Load Posting and Booking Requirements
12.1 Responsibilities of Shippers
Shippers must provide clear, accurate, and timely shipment details when posting or requesting transportation services. Required information includes:
- Full description of goods
- Pickup and delivery addresses
- Cargo weight and dimensions
- Special handling requirements (temperature control, fragile items, etc.)
- Time-sensitive delivery expectations
PTTR is not liable for delays, cancellations, or disputes resulting from incomplete or inaccurate load information.
12.2 Choosing a Broker or Carrier
Shippers may assign loads directly to a Carrier or work through a Broker. All parties must be verified on the PTTR platform. Once a load is assigned and accepted, the Shipper is bound by the service agreement, including payment terms, communication requirements, and cancellation policies.
12.3 Load Visibility and Tracking Access
Upon confirmation of a shipment, Shippers will receive access to real-time tracking (when enabled by the Carrier). Shippers are expected to monitor progress and respond promptly to notifications. Any disputes or concerns during transit must be reported through the PTTR platform for proper resolution.
12.4 Booking Confirmation
All load bookings require mutual confirmation. A booking is not considered active until both parties have agreed to the terms of the shipment.
13. Prohibited Activities
Upon accepting these Terms and Conditions, Users agree not to engage in, attempt, or facilitate any of the following prohibited activities:
13.1 Fraudulent Activity
Users shall not post false, incomplete, misleading, or deceptive information regarding loads, carriers, shippers, brokers, or any services offered on the Platform.
13.2 Illegal Activity
Users shall not use the PTTR Load Board to engage in illegal conduct, including but not limited to transporting illegal goods, violating transportation laws, or participating in unlawful commercial activity.
13.3 Intellectual Property Violations
Users shall not infringe upon the intellectual property rights of PTTR or any third party. This includes unauthorized use of trademarks, logos, proprietary content, or any protected materials.
13.4 Harassment or Abuse
Users shall not harass, threaten, abuse, or use harmful or discriminatory language towards others on or through the platform, or to any PTTR Load Board Inc Employee or Staff Member.
13.5 Disruption of Platform Operations
Users shall not intentionally or unintentionally disrupt, interfere with, or impair the proper functioning of the Platform. This includes introducing viruses, malware, or harmful code.
13.6 Bypassing Security Features
Unauthorized access, account manipulation, or attempts to bypass PTTR’s security systems are strictly prohibited.
13.7 Misuse of PTTR Data
Users shall not scrape, export, harvest, or otherwise misuse PTTR Load Board’s data, including user information, load data, or proprietary analytics.
14. Double Brokering Protection
PTTR Load Board strictly prohibits double brokering. Double brokering occurs when a User brokers a load without the original shipper’s or carrier’s authorization.
14.1 Penalties for Violations
Users found engaging in double brokering may face:
- Monetary fines imposed by PTTR
- Immediate suspension or termination of their account
- Possible legal action
14.2 Detection and Monitoring
PTTR actively monitors load transactions, communication logs, and account activity to detect and prevent double brokering.
14.3 Reporting Violations
Users are encouraged to report suspected double brokering or unauthorized activity. All reports will be thoroughly investigated.
15. Restrictions on Competitive Use
Upon full payment for access to PTTR’s Products, Users receive a royalty-free, term-limited, non-exclusive, non-transferable, non-assignable, and non-sublicensable license to use the Platform.
15.1 User Restrictions
Users agree not to:
- Use PTTR’s data to create, sell, or offer competing products or services Combine PTTR’s data with data from other brokers or load boards
- Share PTTR’s data with competing freight‑matching platforms
- Use PTTR’s data, including rates, to develop competing pricing or lane‑rate tools
- Engage in double brokering of freight or trucks
- Reverse engineer, copy, or replicate PTTR’s systems or proprietary tools
Any violation of this section may result in immediate account termination and legal action.
16. Dispute Resolution
This dispute resolution process applies to all disputes between Users (e.g., carriers, brokers, shippers) and between Users and PTTR Load Board, including disputes related to payments, service issues, or platform use.
16.1 Resolution Process
- Mediation
- Parties agree to attempt to resolve disputes through good-faith negotiation. If unsuccessful, the parties shall submit the dispute to mediation with a neutral third-party mediator, conducted online or at a mutually agreed location.
- Arbitration
- If mediation does not resolve the dispute within thirty (30) days, the matter shall be submitted to binding arbitration under the rules of the American Arbitration Association. The arbitrator shall have exclusive authority to issue a final, binding decision. The arbitrator’s written decision shall be final and enforceable by all parties.
16.2 Class Action Waiver
Users agree that all disputes must be brought on an individual basis. Users waive any right to participate in a class action, collective action, private attorney general action, or any other representative proceeding.
16.3 Costs
Each party shall bear its own costs, including attorney’s fees, witness fees, and related expenses. The cost of mediation and arbitration shall be shared equally among the parties involved.
17. Confidentiality
Users may access PTTR Load Board’s confidential information solely as required to use the Platform. “Confidential Information” includes any private, sensitive, or non-public information disclosed by PTTR or submitted by Users, including business plans, user data, transaction details, and operational processes.
17.1 User Responsibilities
By clicking the “I Accept” button, Users agree to:
- Protect all Confidential Information from unauthorized disclosure
- Use Confidential Information only for legitimate use of the Platform
- Not disclose any Confidential Information without PTTR’s explicit written consent
- Implement reasonable security measures, including encryption such as TLS, when storing or transmitting Confidential Information
- Sign a Non‑Disclosure Agreement (NDA) with PTTR Load Board when required, including for access to sensitive or proprietary data
Failure to comply may result in suspension, termination, or legal action.
18. Warranty Disclaimer
To the fullest extent permitted by law, PTTR Load Board provides the Platform, products, and services “as‑is” and “as‑available”, without warranties of any kind, whether express or implied.
PTTR does not guarantee:
- Accuracy, completeness, or reliability of Platform data
- That the Platform will meet any User’s specific requirements
- That the Platform will produce specific results
- That the Platform will function effectively with third‑party systems, integrations, or components
Users assume all risks associated with their use of the Platform.
PTTR Load Board does not provide legal, financial, compliance, or professional advice. All decisions made using the Platform are the sole responsibility of the User.
Data Accuracy and System Reliability Disclaimer
PTTR Load Board does not guarantee the accuracy, completeness, timeliness, or reliability of any data displayed on the Platform, including but not limited to load information, tracking data, mapping data, MCI metrics, user profiles, insurance information, or system‑generated insights. All such data is provided “as‑is” and may be incomplete, delayed, inaccurate, or unavailable.
Users assume full responsibility for verifying all information before acting on it. PTTR Load Board does not guarantee the accuracy of third-party data sources, including mapping providers, telematics systems, or market condition analytics.
No Refund Policy
All payments made to PTTR Load Board are final and non‑refundable under any circumstances. This includes subscription fees, additional‑user fees, activation fees, advertising fees, and any other charges. PTTR does not issue refunds for partial months, unused services, user error, failure to cancel, billing disputes, or dissatisfaction with the Platform.
Users acknowledge that it is their sole responsibility to cancel their subscription using the procedures outlined in Section 27.11. Failure to cancel properly does not entitle the User to a refund.
19. Limitation of Liability
PTTR Load Board shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Lost Profits
- Lost Revenue
- Lost Customers
- Lost Opportunities
- Loss of data
- Loss of goodwill
Even if PTTR has been advised of the possibility of such damages.
19.1 Freight-Specific Risks
PTTR is not responsible for any freight-related issues, including:
- Cargo loss
- Cargo damage
- Delays
- Miscommunication or misinterpretation by Users
By accepting these Terms, Users assume full responsibility for all freight-related risks.
19.2 Maximum Liability
PTTR Load Board’s total liability for any claim shall not exceed the amount the User actually paid for the specific order or service giving rise to the claim, regardless of the cause or nature of the claim.
20. Indemnification
20.1 PTTR’s Protection of Users
PTTR Load Board will defend Users, their officers, employees, and directors against third-party claims alleging that PTTR’s products infringe intellectual property rights, except where the claim arises from:
- Combining PTTR’s products with third-party products or services
- Continued use of products after PTTR instructs User to stop.
20.2 User Indemnification of PTTR
By accepting these Terms, Users agree to defend, indemnify, and hold PTTR harmless from any claims, losses, damages, liabilities, or expenses arising from:
- Misuse of the Platform Fraud or illegal activity
- Violations of laws or regulations
- Breach of these Terms
- Disputes with other Users
21. Intellectual Property Rights
All content, materials, software, graphics, text, images, logos, and proprietary tools on the Platform are the exclusive property of PTTR Load Board.
Users are strictly prohibited from:
- Reproducing or copying PTTR content
- Creating derivative works
- Modifying or reverse‑engineering PTTR systems
- Using PTTR intellectual property without written permission
21.1 Penalties for Violations
Violations may result in:
- Immediate account suspension
- Temporary or permanent account termination
- Legal action, including claims for damages and injunctive relief
21.2 Monitoring and Compliance
PTTR Load Board reserves the right to monitor User activity to ensure compliance with these Terms. PTTR may use automated systems, including AI‑based fraud detection tools, to identify suspicious or non‑compliant behavior.
If suspicious activity is detected, PTTR may:
- Immediately terminate the User’s account
- Temporarily suspend access during investigation
- Increase monitoring of the User’s activity
- Conduct a full account audit
- Impose fines or penalties
These actions may be taken without prior notice.
PTTR Load Board is not obligated to monitor user activity and does so at its sole discretion. PTTR assumes no responsibility or user actions, omissions, or violations.
22. Notices
PTTR Load Board may provide notices to Users by:
- Posting notices on the Platform
- Sending notices via email
Notices are considered effective immediately upon posting or sending.
Users must send notices to PTTR in writing at:
info@pttrloadboard.com
23. Force Majeure
PTTR Load Board shall not be liable for delays or failure to perform obligations due to events beyond its control, including:
- Natural disasters
- Labor disputes
- Power or internet outages
- Telecommunications failures
- Severe weather
- Governmental restrictions
- Civil unrest
- Terrorism
- Acts of war
24. Modifications to Terms and Platform
PTTR Load Board may modify these Terms or the Platform at any time. Changes take effect immediately upon publication. Continued use of the Platform constitutes acceptance of the updated Terms.
25. Third‑Party Integrations and Load Visibility
PTTR Load Board may integrate with third‑party providers to enhance freight visibility and availability. Loads displayed on the Platform may originate from third‑party sources.
Users acknowledge that:
- Third‑party loads are facilitated by external providers
- PTTR does not control or endorse third‑party performance
- PTTR is not responsible for third‑party actions, omissions, or service failures
Any disputes involving third‑party loads must be resolved directly with the third party.
26. State‑Specific Rights and Disclosures
26.1 California Privacy Rights (CCPA/CPRA)
California residents have the right to request access to, deletion of, and correction of their personal information. PTTR Load Board does not sell personal data. California residents may submit privacy‑related requests using the contact information provided in the Notices section. Additional details are available in PTTR’s Privacy Policy.
26.2 Automatic Renewal Disclosures (California, New York, Vermont)
Certain states require clear disclosure of automatic renewal terms. By subscribing, Users acknowledge that their subscription will automatically renew each month until canceled. Users may cancel at any time using the cancellation procedures outlined in Section 26.11.
26.3 New York SHIELD Act Data‑Security Safeguards
PTTR Load Board implements administrative, technical, and physical safeguards designed to protect user information in accordance with the New York SHIELD Act and other applicable state data‑security laws.
26.4 Consumer Privacy Rights (Virginia, Colorado, Connecticut, Utah)
Residents of states with consumer privacy laws may have additional rights regarding access, deletion, portability, and correction of personal data. PTTR will honor such rights in accordance with applicable state law.
26.5 Texas Breach Notification
In the event of unauthorized access to personal information involving Texas residents, PTTR Load Board will provide notice in accordance with Texas data‑breach notification laws.
26.6 Illinois Biometric Information (BIPA)
PTTR Load Board does not collect biometric identifiers such as fingerprints, facial recognition data, or voiceprints. If this ever changes, PTTR will comply with the Illinois Biometric Information Privacy Act (BIPA).
26.7 Washington State Health Data
PTTR Load Board does not collect or process health‑related data as defined under Washington’s My Health My Data Act.
26.8 Arbitration and Jury Trial Waiver (California, New York, New Jersey)
By agreeing to arbitration under Section 15, Users waive their right to a jury trial and agree that disputes will be resolved on an individual basis. Class‑action participation is waived to the fullest extent permitted by law.
26.9 Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict‑of‑law principles. Any permitted court proceedings shall occur exclusively in California.
PTTR Load Board will comply with any additional state privacy laws that become effective after the date of this Agreement, and Users’ rights will be honored in accordance with applicable law.
27. Term & Termination
27.1 Term by User (Voluntary Termination)
The following sections survive termination of this Agreement: Confidentiality, No Refund Policy, Limitation of Liability, Indemnification, Intellectual Property Rights, Dispute Resolution, Governing Law, and State-Specific Rights.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Users may terminate their account at any time by notifying PTTR Load Board. Termination does not exempt the User from any outstanding payment obligations or fees incurred prior to the termination date.
27.2 Term by PTTR Load Board
PTTR Load Board reserves the right to suspend or terminate a User’s access to the Platform at any time, with or without notice, at PTTR’s sole discretion.
27.3 Term Length
This Agreement becomes effective on the date the User accepts these Terms and remains in effect until terminated in accordance with this Section.
27.4 Warning and Notice Procedure
Except in cases of fraud or severe misconduct, PTTR will issue a written warning notice before terminating an account.
The notice will include:
- A description of the violation
- Required corrective actions
- A reasonable timeframe to resolve the issue
Immediate Termination:
If PTTR determines that a User has engaged in fraudulent activity, the account may be terminated immediately without warning. PTTR may also pursue legal action.
27.5 Grounds for Immediate Termination
PTTR may immediately suspend or terminate a User’s account for any of the following reasons:
1. Breach of Agreement:
Failure to cure a material breach within seven (7) days of receiving written notice
2. Fraudulent Activity:
Engagement in fraudulent conduct as described in Sections 12, 13, and 14.
3. Failure to Meet Payment Terms:
Non‑payment or repeated late payment of fees as outlined in Section 6.
4. Inaccurate or Misleading Information:
Providing false, incomplete, or misleading information to PTTR or other Users.
27.6 Prohibited Activities Leading to Termination
PTTR Load Board maintains strict rules against activities that compromise platform integrity, including:
- Double brokering
- Posting fraudulent or misleading load details
- Misusing tracking or visibility data
- Introducing malware, bots, or harmful code
- Scraping or exporting PTTR data (including PTTR Map or MCI data)
Violations may result in suspension, termination, fines, or legal action.
27.7 Liability Disclaimer (Related to Termination)
PTTR Load Board limits its liability for indirect damages, including lost profits, revenue, or freight‑related losses caused by User actions.
All services are provided on an “as‑is” basis without guarantees of uninterrupted functionality. Users are responsible for managing their operations with an understanding of these limitations.
27.8 Termination Policies
PTTR may suspend or terminate accounts for:
- Non‑payment of subscription fees
- Repeated violations of these Terms
- Breaches of advertising, data‑use, or competitive‑use policies
- Violations of insurance or compliance requirements
These policies ensure platform integrity and protect the PTTR community.
27.9 Dispute Resolution After Termination
All disputes arising from or related to termination shall be resolved through arbitration as outlined in Section 15.
PTTR remains neutral and does not mediate disputes between Users.
Users agree to resolve conflicts independently, including disputes between:
- Brokers and carriers
- Brokers and shippers
- Shippers and carriers
PTTR acts solely as a platform connecting parties.
27.10 Effect of Termination
Upon termination:
- User access to the Platform immediately expires
- All outstanding fees remain due and payable
- No refunds will be issued for prior charges unless otherwise stated in Section 6
27.11 Account Cancellation Procedure
27.11.1 Broker, Combo, Load Connect, and Shipper Account Cancellation
Users with Broker, Combo, Load Connect, or Shipper accounts cannot delete their subscription through the Platform.
These Users must contact PTTR Load Board directly to request account cancellation and deletion.
Cancellation requests must be submitted by:
- Phone, or
- Email to PTTR Load Board’s support team
PTTR will verify the request and complete the deletion process on the User’s behalf.
Refund Responsibility for Non‑Carrier Accounts
If a User fails to contact PTTR to request cancellation and a new month’s payment processes automatically, PTTR Load Board is not responsible for issuing a refund, as the account remained active and no cancellation request was received.
27.11.2 Carrier Account Cancellation (Self-Service Option)
Users with Carrier accounts may cancel their subscription directly through the PTTR Load Board Platform by completing the following steps:
- Navigate to the bottom left-hand corner of the dashboard.
- Click on the account name (scrolling may be required).
- Select Billing from the menu.
- Click the “eye” icon next to the active subscription.
- Click the red “Delete Subscription” button to permanently cancel the subscription.
A Carrier subscription is not considered canceled unless these steps are completed and the User receives confirmation of deletion.
If a Carrier Experiences Issues
If a Carrier is unable to complete the cancellation steps, they must contact PTTR Load Board immediately via phone or email for manual deactivation.
Failure to notify PTTR of cancellation issues does not exempt the User from charges.
Refund Responsibility for Carriers
If a Carrier does not complete the cancellation process and does not notify PTTR of any issues, and a new month’s payment processes automatically, PTTR Load Board is not responsible for issuing a refund, as the subscription remained active and PTTR had no knowledge of the issue.
This Agreement constitutes the entire agreement between PTTR Load Board and the User and supersedes all prior agreements, representations, or understandings.
